中国国际贸易促进委员会/中国国际商会调解中心介绍
中国国际贸易促进委员会/中国国际商会调解中心及其各分(支)会的调解中心(下称调解中心),是以调解的方式,独立、公正地帮助中外当事人解决商事、海事等纠纷的常设调解机构。
调解中心成立于1987年,总部设在北京,目前在全国各省、市、自治区设有四十余家分(支)会调解中心,形成了覆盖全国的调解网络。各调解中心在业务上受总会调解中心的指导和管理。
调解中心制定有统一适用的《调解规则》,该规则科学系统地规范了调解机构、调解员和调解当事人之间的关系,体现了当事人意思自治和诚信、公平与效率原则。
调解中心备有调解员名册,供当事人在个案中使用。调解员由本中心聘请在经济、贸易、金融、证券、投资、知识产权、技术转让、房地产、劳务合作、工程承包、运输、保险、物流以及其他商事、海事和法律领域里具有专门知识及/或实际经验的、公道正派的人士担任。中心还制定有《调解员守则》,规范调解员的行为,明确调解员的职责,保证调解公正、有效地进行。
调解中心根据当事人之间的调解协议受理案件,如没有调解协议,经一方当事人申请在征得他方当事人同意后也可受理。在调解过程中,调解员尊重当事人的意思自治,尊重合同的约定,依据法律,参照国际惯例,按照公平合理的原则进行调解工作,以促成当事人互谅互让,达成最终的和解,维护并发展当事人持久的合作关系和长远利益。
调解具有高效省时、保密灵活、不伤和气、费用低廉等特点,正是这些突出特点,使调解这一与诉讼、仲裁互补的解决争议的方式,目前在国际上日益受到当事人的欢迎和采用。
调解中心重视开展国际交流与合作,先后与德国、美国、英国、瑞典、韩国、加拿大、香港、澳门、日本、意大利等多个国家和地区的相关机构签署合作协议,积极开展联合调解工作,并分别与大韩商工会议所、加中贸易理事会、澳门世界贸易中心、美国国际争议预防与解决协会、意中商会及米兰仲裁协会联合成立了中韩商事争议调解中心、中加联合调解中心、内地与澳门联合调解中心、中美商事调解中心、中意商事调解中心,以联合调解的方式解决中外当事人之间发生的争议。
上海调解中心成立于1994年,经过多年的积极开拓和不懈努力,本中心已成为上海最具有代表性的商事调解机构,每年办理各类商事争议案件数十余件,调解成功率达到80%以上,曾多次被评为总会全国先进调解中心。
本中心将以化解社会矛盾、促进经济繁荣、构建和谐社会为己任,为中外当事人提供优质高效的法律服务,为推动我国调解事业的发展做出新的贡献。
INTRODUCTION
The Mediation Center of the China Council for the Promotion of International Trade (CCPIT)/China Chamber of International Commerce (CCOIC) and those in its branches (hereinafter referred to as the “Mediation Center”) are standing organizations dedicated to helping Chinese/foreign disputants to resolve disputes arising out of commercial and maritime transactions.
Since the Mediation Center was established in 1987 in Beijing, with the headquarter located in Beijing, it has established more than 40 sub-centers, forming a mediation network covering all of China. These sub-centers are functioning under the direction and supervision of the Mediation Center of CCPIT in respect of their professional work.
Mediation under the Mediation Center is governed by uniform Mediation Rules applying to the entire mediation network, which aim to regulate the relationship between the organization, mediators and disputants in a scientific and systematic manner, representing the principle of autonomy of parties, good faith, justice and efficiency.
The Center has a Panel of Mediators form which parties may select during mediation. These mediators are invited and appointed by the Mediation Center, and should be upright and impartial person with special knowledge and practical experience in the fields of economics, trade, finance, securities, investment, intellectual property, technology transfer, real estate, construction contract, transportation, insurance, logistics and other commercial, maritime, and legal fields. The Mediation Center has also formulated a Codes of Conduct for Mediators to regulate the conduct of mediators, to specify the responsibilities of mediators, and to guarantee the fair and efficient proceeding of the mediation.
The Mediation Center accepts cases in accordance with the mediation agreement between the parties. In the absence of such an agreement, the Mediation Center could accept a case if an Application of Mediation is filed by one party and the consent of the other party to mediate is obtained. In the process of mediation, the mediator shall respect the autonomy of the parties, respect the terms of the mediation agreement, abide by the law, follow international practice, and adhere to the principles of objectivity, fairness and equitability, to encourage mutual understanding and accommodation between the parties for them to reach a settlement agreement, and help the parties to develop a lasting cooperative relationship and long-term interests.
Mediation has certain prominent characteristics, such as being efficient and time-saving, confidential and flexible, easily-acceptable, and cost-saving. As such, mediation, as an alternative to litigation and arbitration, is growing in popularity and being adopted by numerous parties.
The Mediation Center attaches importance to international communication and cooperation. It has entered into cooperation agreements with counterparts from Germany, the United States, the United Kingdom, Sweden, the Republic of Korea, Canada, Macao, Japan, Italy, etc…actively engaging in co-mediation operations, and has jointly established co-mediation centers with the South Korean Chamber of Industry and Commerce, the Canada-China Business Council, the Macao World trade Center, international institute for Conflict Prevention and Resolution, the Italy-China Chamber of Commerce and the Milan Arbitration Center, aiming to provide dispute resolution services to Chinese and foreign parties under the joint mediation programs.
Shanghai Mediation Center was established in 1994. After active development and persistent effort, the Center has become the most representative commercial mediation institute in Shanghai. The Center handles dozens of cases covering various commercial sectors per year, with a success rate of higher than 80%. The Center has been awarded the title of Excellent Mediation Center in CCPIT for several times.
Shanghai Mediation Center will maintain its mission to solve social conflicts, promote economic prosperity and create a harmonious society, provide services of good-quality and high-efficiency, and be dedicated to the development of mediation in our country.
示范调解条款
本合同之各方当事人均愿将因本合同引起的或与本合同有关的任何争议,提交中国国际贸易促进委员会/中国国际商会调解中心,按照申请调解时该中心现行有效的调解规则进行调解。
经调解后如达成和解协议或调解员根据该和解协议的内容作出调解书,各方都要认真履行该和解协议或调解书中所载之各项内容。
Model Mediation Clause
Any dispute arising from or in connection with this Contract shall be submitted to Mediation Center of China Council for the Promotion of International Trade/China Chamber of International Commerce for mediation which shall be conducted in accordance with the Center’s Mediation Rules in effect at the time of applying for mediation. In case an amicable settlement agreement has been reached or a Mediation Statement be made by the mediator(s) on the basis of that amicable settlement agreement, the parties shall abide by the terms stated therein.
商事调解的适用范围
商事调解适用于解决发生在贸易、投资、金融、证券、知识产权、技术转让、房地产、工程承包、运输、保险以及其他商事、海事等领域的争议。这些争议包括国际或涉外的争议;涉及香港特别行政区、澳门特别行政区和台湾地区的争议;外商投资企业相互之间以及外商投资企业与中国其他法人、自然人及/或经济组织之间的争议;其他国内争议。
APPLYING SCOPE OF BUSINESS MEDIATION
Business Mediation is always used to solve disputes on trade, investment, finance, securities, intellectual property, technology transfer, real estate, construction contract, transportation, insurance and other commercial and maritime business.
The disputes include:
1. International or foreign-involved disputes;
2. Disputes related to the Hong Kong Special Administrative Region (SAR), the Macao SDR and Taiwan region;
3. Disputes between foreign investment enterprises or between a foreign investment enterprise and a Chinese legal person, natural
person, and/or economic organization;
4. Any other domestic disputes.
调解案件的申办程序
当事人向调解中心提出调解申请时,按下述要求办理:
(一)提交调解申请书(一式四份),其中应写明及/或提供:
1、申请人和被申请人的名称(姓名)和地址、邮政编码、电话、传真、电子邮件(E-mail)等;
2、调解所依据的调解协议;
3、争议事实、证据材料和调解请求;
4、其他应当写明的事项。
(二)如聘请代理人参与调解程序,应提交书面授权委托书。
(三)在调解中心调解员名册中,选定或委托调解中心代为指定一名调解员。
MEDIATION APPLYING PROCESS
The party applying for mediation at the Mediation Center should proceed according to the following requirements:
1. Submit a written Application for Mediation (in quadruplicate) which shall expressly indicate and/or provide:
a. the name and address of the applicant and the respondent, respectively, including their post codes (zip codes), telephone numbers, fax numbers and e-mail addresses, etc,;
b. the mediation agreement on the basis of which the Application for Mediation is submitted;
c. the facts of the case, documentary evidence and the claim;
d. other issues/matters which should be indicated and/or provided;
2. Submit a Power of Attorney, if the applicant engages a mediation agent to participate in the mediation proceedings;
3. Appoint one mediator from the Mediation Center’s Panel of Mediators or entrust the Mediation Center to appoint one.

申请调解时未确定争议金额或情况特殊的,由调解中心秘书处决定调解收费金额。
调解员认为确有必要到外地察看调查的,调解人员的食宿、交通费用等实际开支,按合理的费用标准向当事人收取。
如调解程序因故中止,调解中心可根据调解工作的进展情况和实际开支,适当返还当事人预交的部分调解费。

Where the amount of claim is not ascertained at the time when applying for mediation or there exists special circumstances, the amount of mediation fee shall be determined by the Secretariat of the Mediation Center.
If the mediator or mediators consider(s) it necessary to make inspection or investigation in places other than the place of mediation, the meals, accommodation, travel and other actual expenses of the mediator(s) shall be collected from the parties at a reasonable charge standard.
In case the mediation procedure is suspended, the Mediation Center may charge a certain amount of fees from the parties according to the quantity of work and the amount of the actual expenses and refund the remaining part of mediation fees to the parties.
调解规则(2005)
第一章 总则
第一条
为了使用调解的方式解决产生于商事、海事等领域的争议,特制定本规则。
第二条
本规则适用于当事人之间在贸易、投资、金融、证券、知识产权、技术转让、房地产、工程承包、运输、保险以及其它商事、海事等领域的争议的调解。
前款所述争议包括:(一)国际或涉外的争议;(二)涉及香港特别行政区、澳门特别行政区和台湾地区的争议;(三) 外商投资企业相互之间以及外商投资企业与中国其他法人、自然人及/或经济组织之间的争议;(四)其它国内争议。
第三条
经双方当事人协商一致,在适用本规则时,当事人可以根据需要选用本规则的规定或对有关条款进行变更,但上述选用或变更不得违背法律规定。
第四条
调解必须遵循当事人自愿的原则。
第五条
调解应根据合同的规定,依照法律,参照国际惯例,根据客观、公正和公平合理的原则进行,以促进当事人互谅互让,达成和解。
第六条
经当事人同意,调解中心可与其他争议解决机构进行联合调解,也可以接受其他机构的邀请或委托,对争议进行联合或单独调解。
第二章 组织
第七条
中国国际贸易促进委员会/中国国际商会调解中心(下称调解中心),是中国国际贸易促进委员会/中国国际商会组织设立的常设调解机构。调解中心对贸促会系统的各地方调解中心实行统一业务指导和管理。地方贸促会调解中心统一适用本规则。
第八条
调解中心设主席一人,副主席若干人,顾问若干人。上述人员组成主席会议,为调解中心的领导机构和决策机构。
第九条
调解中心设秘书处和国际业务处等办事机构,在秘书长的领导下,负责中心的行政管理工作和日常事务以及国际交流与合作。
第十条
调解中心备有调解员名册,调解员由调解中心聘请在贸易、投资、金融、证券、知识产权、技术转让、房地产、工程承包、运输、保险以及其它商事、海事等方面及/或法律方面具有专门知识及/或实际经验的、公道正派的人士担任。
第三章 调解程序
第一节 案件的受理
第十一条
调解中心根据当事人在争议发生之前或者在争议发生之后达成的调解协议和任何一方、双方或多方当事人的申请受理案件。
调解协议系指当事人在合同中订明的调解条款,或者以其他方式达成的同意以调解方式解决争议的协议。
当事人之间没有调解协议,一方当事人申请调解的,调解中心也可以受理,并征求对方当事人的意见。
第十二条
凡当事人同意将争议提交调解中心进行调解的,均视为同意按照调解中心的调解规则进行调解。但当事人另有约定且调解中心同意的,从其约定。
第十三条
当事人向调解中心提出调解申请时,按下述要求办理:
(一)提交调解申请书(一式四份),其中应写明及/或提供:
1.申请人和被申请人的名称(姓名)和地址、邮政编码、电话、传真、电子邮件(E-mail)等;
2.调解所依据的调解协议;
3.争议事实、证据材料和调解请求;
4.其它应当写明的事项。
(二)如聘请代理人参与调解程序,应提交书面授权委托书。
(三)在调解中心调解员名册中,选定或委托调解中心代为指定一名调解员。
(四)如当事人在争议发生前或发生后达成调解协议或就以调解的方式解决争议达成一致,则由申请人及被申请人按照本规则所附调解收费表的规定分别预交调解费的50%。
(五)如申请人在提出调解申请时尚未与被申请人取得联系,或双方尚未就以调解的方式解决争议达成一致,则申请人在提交前述材料的同时按照本规则所附调解收费表的规定先预交调解费的50%。
第十四条
调解中心收到调解申请书及其附件后,经审查完毕,立即转送给被申请人一式一份。被申请人应在收到上述文件之日起15日内确认同意调解并在调解中心的调解员名册中选定或委托调解中心代为指定一名调解员,同时按照本规则所附调解收费表的规定预交调解费的50%。
第十五条
调解被申请人未在第十四条规定的期限内确认同意调解的,视为拒绝调解;在规定期限届满后确认同意调解的,是否接受,由调解中心决定。
第二节 调解员的选(指)定
第十六条
当事人应从调解中心调解员名册中选定调解员,当事人另有约定的除外。
第十七条
申请人和被申请人分别选定一名调解员,下列情形除外:
(一)当事人另有约定;
(二)当事人同意共同选定独任调解员调解案件的;
(三)调解中心认为增加指定一名首席调解员更有利于调解的。
第十八条
如当事人同意将争议交由独任调解员调解,当事人应在被申请人收到调解通知之日起15日内共同选定独任调解员。
第十九条
有下列情形之一的,由调解中心指定调解员:
(一)第十七条第三款规定的情形;
(二)任何一方当事人在调解中心规定期限内未选定调解员;
(三)任何一方委托调解中心指定调解员。
第二十条
根据当事人的请求,调解中心可向其提供调解员的选任标准和相关调解员的职业、教育背景、工作经验、所受培训等情况
。
第二十一条
在接受当事人选定或调解中心指定时,调解员应保证履行调解员的职责,并披露可能影响其在该案件中担任调解员的独立性、公正性的情况。
第二十二条
如任何被当事人选定或被调解中心指定的调解员因自身的原因无法继续履行调解员职责,当事人或调解中心应按前述有关条款的规定重新选定或指定调解员。
第三节 调解方式
第二十三条
调解员可以采用其认为有利于当事人达成和解的方式对争议进行调解。这种方式包括但不限于:
(一)调解程序开始之后,调解员可以单独或同时会见当事人及其代理人进行调解;
(二)调解员单独会见一方当事人的,可向他方当事人通报单独会见的情况,当事人另有要求的除外;
(三)调解员可以对争议进行面对面的调解,也可以进行背对背的调解;
(四)在调解过程中,调解员可以要求当事人,提出书面或口头的建议或方案;
(五)调解员可以根据具体案情,在征得当事人同意后,聘请有关专家就技术性问题提供咨询建议或鉴定意见;
(六)调解员可以要求当事人提交补充材料;
(七)在调解过程中,调解员可以根据已掌握的情况,依据公平合理的原则,向当事人提出解决争议的建议;
(八)经过调解,在当事人之间仍无法达成和解的情况下,调解员可以提出最后的建议或方案。
第二十四条
调解在调解中心所在地进行。如当事人另有约定,经调解中心同意,或由调解中心建议并经当事人一致同意,亦可在其它地点进行。由此产生的费用,由当事人承担。
第二十五条
聘请有关行业的专家参与调解工作,所产生的费用,由当事人承担。
第二十六条
经过调解,如当事人达成和解协议,由各方当事人在和解协议上签字及/或盖章,应当事人的要求,调解员可根据和解协议的内容,作出调解书,由调解员在调解书上签字并加盖调解中心的印章。除非为执行或履行之目的,和解协议或调解书不得公开。
第二十七条
双方当事人签订和解协议时,可以在和解协议中加入仲裁条款。该仲裁条款的内容如下:“本协议书对各方当事人均有约束力。任何一方均可将本和解协议提交中国国际经济贸易仲裁委员会,请求该会按照现行有效的仲裁规则进行仲裁。各方同意由仲裁委员会主任指定一名独任仲裁员,组成仲裁庭,进行书面审理。仲裁庭有权按照适当的方式快捷地进行仲裁程序,仲裁庭根据本和解协议的内容作出裁决书。仲裁裁决是终局的,对各方当事人均有约束力。”
第二十八条出现以下情形,调解程序终止:
(一)当事人之间达成和解协议;
(二)调解中心作出了调解书;
(三)调解员认为调解已无成功的可能并以书面声明终止调解程序;
(四)各方或任何一方当事人向调解员书面声明终止调解程序;
(五)调解协议中规定的调解期限届满,当事人协议同意延期的除外。
第四章 附则
第二十九条
如果调解不成功,调解员不得在其后就同一争议进行的仲裁程序中担任仲裁员,但当事人同意者除外。
第三十条
当事人及其代理人在调解程序中,应积极配合调解员,以保证调解程序的顺利进行
。
第三十一条
如果调解不成功,当事人均不得在其后就同一争议进行的仲裁程序或诉讼程序及其他程序中,引用调解员和各方当事人在调解程序中提出过的、建议过的、承认过的和表示过愿意接受的任何以达成和解为目的的方案和建议,作为其申诉或答辩的依据。
第三十二条
当事人不得在第三十一条规定的各类程序中要求调解员充当证人,但法律另有规定的除外。
第三十三条
调解员应根据案情和调解的结果,确定当事人承担的调解费用比例,当事人另有约定的除外。
第三十四条
本规则由中国国际贸易促进委员会/中国国际商会调解中心负责解释。
第三十五条
本规则自2005年7月1日起施行。
MEDIATION RULES (2005)
CHAPTER 1 –GENERAL PROVISIONS
Article 1
These Rules are formulated with a view to settling disputes arising out of commercial and maritime transactions by means of mediation (conciliation).
Article 2
These Rules apply to the mediation of disputes arising between parties in relation to trade, investment, finance, securities, intellectual property, technology transfer, real estate, construction contract, transportation, insurance and other commercial and maritime business.
The disputes stated above include:
1. International or foreign-related disputes;
2. Disputes related to the Hong Kong Special Administrative Region (SAR), the Macao SAR or the Taiwan region;
3. Disputes between foreign investment enterprises or between a foreignr investment enterprise and a Chinese legal person, natural person, and/or economic organization; and
4. Any other domestic disputes.
Article 3
Upon the parties’ consultations, when using the Rules the parties may, as necessary, selectively apply or modify these Rules; though such selective application or modification may not be in conflict with provision of law.
Article 4
Mediation shall follow the principle of voluntary participation by the parties.
Article 5
Mediation shall be conducted on the basis of the terms of the contract, in accordance with the law, with reference to international practice and according to the principles of objectivity, fairness and equitability, to encourage mutual understanding and accommodation between the parties and for them to reach a settlement agreement.
Article 6
The Mediation Center may, with the parties’ agreement, conduct mediation jointly with other dispute settlement organizations, or accept the invitation or entrustment by other organizations to mediate disputes jointly or solely.
CHAPTER II –ORGANIZATIONS
Article 7
The CCPIT/CCIOC Mediation Center (hereinafter referred to as the Mediation Center) is the permanent institution organized and established by the CCPIT/CCIOC. The Mediation Center shall implement uniform guidance and administration in regards to the business of CCPIT’s local Mediation Centers. Local Mediation Centers shall uniformly apply the Rules.
Article 8
The Center has one chairman, several vice chairmen and a number of consultants. The above persons form the Chairman’s Council, the Center’s internal supervising and policy making organization.
Article 9
The Center has a secretariat and an international affairs division, which are responsible for the administrative and daily work as well as international exchanges and cooperation, under the leadership of the Secretary General.
Article 10
The Center maintains a Panel of Mediators, with appointed mediators those invited by the Mediation Center from among impartial and upright personages with special knowledge and/or practical experience in trade, investment, finance, securities, intellectual property, technology transfer, real estate, construction contract, transportation, insurance and other fields of commerce, maritime business and/or law.
CHAPTER III – MEDIATION PROCEEDINGS
Section 1 – Acceptance of Cases
Article 11
The Mediation Center accepts cases based on a mediation agreement between the parties concluded either before or after the occurrence of the dispute, and the application by one, both, or multiple parties.
Mediation agreement refers to a clearly inserted mediation clause in a contract or an agreement in any other forms by the parties to resolve disputes through mediation.
Where there is no mediation agreement between the parties, the Mediation Center may still accept the application by one party after soliciting the consent of the other party.
Article 12
The parties’ agreement to submit their dispute to the Mediation Center for mediation shall be deemed as an agreement to mediate their dispute in accordance with these Rules. Where the parties have agreed otherwise and the Mediation Center consents, such arrangement shall apply.
Article 13
The party applying for mediation with the Mediation Center should proceed according to the following requirements:
1. Submit a written Application for Mediation (in quadruplicate) which shall expressly indicate and/or provide:
a. the name and address of the applicant and the respondent, respectively, including their post codes (zip codes), telephone numbers, fax numbers and e-mail addresses, etc.;
b. the mediation agreement on the basis of which the Application for Mediation is submitted;
c. the facts of the cases, documentary evidence and the claim; and
d. other issues/matters which should be indicated and/or provided;
2. Submit a Power of Attorney, if the applicant engages a mediation agent to participate in the mediation proceedings;
3. Appoint one mediator from the Mediation Center’s Panel of Mediators or entrust the Mediation Center to do so;
4. Where the disputing parties have concluded a mediation agreement either before or after the application for mediation or have otherwise reached an agreement to resolve the dispute through mediation, the applicant and the respondent shall respectively pay, in advance, 50% of the mediation fee, according to the Mediation Fee Schedule attached to these Rules; and
5. Where the applicant has not contacted the respondent regarding the mediation of their dispute or the parties have not reached a consensus thereon by the time the applicant applies for mediation, the applicant shall prepay 50% of the mediation fee as per the Mediation Fee Schedule attached to these Rules.
Article 14
Immediately after receiving the Application for Mediation and its annexed related documents and finding the same to be in order, the Mediation Center shall forward one copy of the Application for Mediation and its annexes to the respondent. The respondent shall, within 15 days from the date of receipt of the said documents, confirm its agreement to mediation and appoint or entrust the Mediation Center to appoint one mediator from the Mediation Center’s Panel of Mediators, as well as pay, in advance, 50% of the mediation fee as per the Mediation Fee Schedule attached to these Rules.
Article 15
If the respondent does not confirm its agreement to mediation within the time limit set forth in Article 14, it shall be deemed that it has rejected mediation. Where the respondent confirms its agreement to mediation after the expiry of the 15-day time limit, the Center shall, at its own discretion, decide whether to accept the confirmation or not.
Section II – Selection (or Appointment) of Mediators
Article 16
Unless the parties agree otherwise, the parties shall select a mediator from the Mediation Center’s Panel of Mediators.
Article 17
The applicant and respondent shall respectively appoint one mediator each unless:
a. The parties agree otherwise;
b. The parties agree to jointly appoint a sole mediator to mediate; and
c. The Mediation Center, at its own discretion, believes that appointing a presiding mediator would be beneficial to the mediation.
Article 18
If the parties agree for the dispute to be mediated by a sole mediator, the parties shall jointly appoint the sole arbitrator within 15 days from the date the respondent receives the Mediation Center’s notice of mediation.
Article 19
In the following circumstances the Mediation Center shall appoint the mediator:
a. The circumstances described under Article 17c;
b. If no mediator is selected by any party within the time limit given by the Mediation Center; or
c. Any party entrusts the Mediation Center to appoint a mediator on its behalf.
Article 20
At the request of the parties, the Mediation Center may provide information regarding the standard for the appointment of a mediator, and also a mediator’s profession, educational background, employment experience, as well as training received, etc.
Article 21
When accepting the appointment by a party or the Mediation Center, a mediator shall ensure that it fulfills its duties as a mediator, and must disclose any circumstances likely to affect his or her independence and impartiality as mediator in the case.
Article 22
If any mediator appointed by the parties or the Mediation Center for his/her own reasons cannot continue to fulfill his/her duties as a mediator, the relevant party or the Mediation Center shall appoint another mediator according to the provisions stated above.
Section III- Method of Mediation
Article 23
The mediators may adopt the method to conduct mediation of the disputes that they deem beneficial for the parties to reach a settlement. The aforementioned methods include but are not limited to:
a. After the commencement of mediation proceedings, the mediator(s) may, in conducting mediation, meet with the parties or representatives individually or collectively;
b. After meeting individually with any party, the mediator(s) may notify all other parties of the circumstance of such individual meeting, unless the parties have requested otherwise;
c. The mediator(s) may conduct “face to face mediation” or “back to back mediation” in respect of the disputes;
d. During the course of mediation, the mediator(s) may request the parties to propose oral and written recommendations or plans;
e. With prior approval by the parties, the mediator(s) may (as the case may be ) engage relevant experts to provide consulting advice or an appraisal opinion with respect to technical issues;
f. The mediator(s) may request the parties to submit supplementary materials;
g. During the course of mediation, the mediator(s) may, on the basis of their understanding of the case and in following the principles of fairness and reasonableness, offer the parties a settlement proposal; and
h. Where the parties fail to achieve settlement after mediation, the mediator(s) may provide a final proposal or plan.
Article 24
Mediation shall be conducted in the place where the Mediation Center is located. It may be conducted in other places if the parties so agree and the Mediation Center consents, or the Mediation Center so proposes and the parties agree. The expenses incurred thereof shall be borne by the parties.
Article 25
Expenses arising in relation to experts of relevant professions invited to participate in mediation work shall be borne by the parties.
Article 26
If through mediation the parties reach a settlement agreement, the parties shall affix their signatures and/or seal (stamp) on such agreement and, at the request of the parties, the mediator(s) may, based on the contents of the settlement agreement, prepare a written Mediation Statement, which shall be signed by the mediator(s) and affixed with the seal (stamp) of the Mediation Center. Other than for the purpose of enforcement or fulfillment, neither the settlement agreement nor the Mediation Statement shall be made public.
Article 27
When signing the settlement agreement, the parties may provide an arbitration clause therein, as follows:
“The settlement agreement is binding on both of the parties, and any of the parties is allowed to apply to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration under the Arbitration Rules effective at the time of application. The parties agree to entrust the Chairman of the Arbitration Commission to appoint a sole arbitrator to examine the case on the basis of documents only. The sole arbitrator may, in a way he or she deems appropriate, conduct the arbitration procedures expeditiously and render an arbitral award following the content of the settlement agreement. The arbitral award shall be final and binding on the parties.”
Article 28
Mediation proceedings shall be terminated if any of the following circumstances arises:
1. The parties have reached a settlement agreement;
2. The Mediation Center has rendered a Mediation Statement;
3. The mediator(s) concludes that it is unlikely to have successful mediation and declare(s) in writing to terminate the mediation proceedings;
4. The parties or one party declares in writing to the mediator that the mediation proceedings be terminated; or
5. The term of mediation provided by the mediation agreement expires, unless the parties otherwise agree to extend.
CHAPTER IV – SUPPLEMENTARY ARTICLES
Article 29
If mediation fails, the mediator may not be appointed as an arbitrator in the subsequent arbitration proceedings, unless the parties otherwise agree.
Article 30
The parties and their agents shall actively cooperate with the mediator to ensure smooth proceedings of the mediation.
Article 31
If mediation fails, the parties shall not invoke any plans or proposals that have been put forward, proposed, admitted or indicated to be acceptable by the parties or the mediator, for the purpose of reaching a settlement, in the course of mediation as grounds for claim or defense in the subsequent arbitration proceedings or litigation proceedings, or any other proceedings.
Article 32
The parties shall not request mediator to act as witness in the subsequent proceedings stated in the Article 31, unless otherwise provided by law.
Article 33
The mediator shall, according to the circumstance of the case and the results of mediation, determine the proportion of mediation fees to be borne by the parties, unless otherwise agreed by the parties.
Article 34
These Rules shall be interpreted by CCPIT/CCOIC.
Article 35
These Rules shall come into force as of July1.2005.
调解员守则
第一条 调解员应尽职、尽责、勤勉、谨慎地行使自己的职责,通过调解的方式高效、快捷地解决争议.
第二条 调解员应独立、公正,不代表任何一方当事人,不偏不倚地履行其职责.
第三条 调解员应接受调解中心的培训,应具备调解技术方面的理论知识和实践经验.
第四条 调解员接受当事人的选定或调解中心的指定时,应保证其为调解工作所必需的时间和精力.
第五条 调解员不得主动与当事人联系,谋求自己作为个案之调解员.
第六条 调解员应主动向调解中心披露任何有可能被认为对其独立性和公正性产生质疑的情况.如有上述情况,足以影响调解公正进行的,不得担任该案件的调解员,当事人另有约定的除外.
第七条 调解员在调解案件的过程中,不得有违背独立原则和公正原则的言论和行为.
第八条 调解员须遵守保密义务,不得对外透露有关案件实体和程序上的任何信息.
第九条 调解程序结束后,未经当事人同意,调解员不得在其后的仲裁程序中担任该争议的仲裁员.
第十条 如果调解不成功,调解员不得在其后的仲裁或诉讼过程中,担任任何一方当事人的代理人.
第十一条 本守则由中国国际贸易促进委员会/中国国际商会调解中心负责解释.
第十二条 本守则自2005年7月1日起施行.
CCPIT/CCOIC MEDIATION CENTER CODE OF CONDUCT FOR MEDIATORS
Article 1
A mediator shall observe the standards of conduct of integrity, prudence and due diligence, to help resolve disputes with efficiency and promptness.
Article 2
A mediator shall be independent, impartial and shall not represent any party’s interests in mediation, and shall at all times act with complete impartiality towards the parties and remain neutral in respect of the dispute.
Article 3
A mediator shall be properly trained by the Mediation Center and shall have theoretical knowledge and practical experience in relation to mediation skills.
Article 4
A mediator shall,prior to his or her acceptance of appointment as a mediator either by any of the parties or the Center,ensure that he or she is competent to serve in terms of time and energy.
Article 5
A mediator shall not contact any of the parties in dispute for the purpose of seeking his or her appointment as a mediator.
Article 6
A mediator shall disclose any circumstances that may affect his or her independence and impartiality or which may give rise to the perception of partiality or lack of neutrality , and shall not accept an appointment or continue to act as mediator if the circumstances stated above are likely to affect the impartiality of mediation, unless the parties agree otherwise.
Article 7
A mediator shall, throughout the entire process of mediation, avoid conduct and statements that violate the principle of independence and impartiality.
Article 8
A mediator shall keep confidential all information arising out of or in connection with the mediation, both the factual and procedural in nature.
Article 9
A mediator shall not act as an arbitrator in the subsequent arbitration proceeding for the same dispute dealt with in the mediation procedures, unless otherwise agreed by the parties.
Article 10
If mediation fails, the mediator shall not act as an attorney for any of the parties in the subsequent arbitration or litigation procedures.
Article 11
These Codes shall be interpreted by the CCPIT/CCOIC Mediation Center.
Article 12
These Codes come into forces as of July 1, 2005.
